By submitting my photos or other media and acknowledging this Photo & Media Use Consent, I authorize Zenzap Ltd. (the “Company”) to use my submitted materials in connection with the creation, display, promotion, and publicity of this billboard campaign, including the Company's marketing, advertising, PR, social media, website, and related promotional activities featuring the campaign. By acknowledging this Photo & Media Use Consent and submitting my materials, I declare, acknowledge, consent to, accept, represent, and agree that:
- I voluntarily submit photographs and/or video footage to the Company (collectively, the "Media"), and understand that my name, likeness, image, biographical materials, appearance and/or other identifying information (collectively, the "Participation") may be collected, incorporated into the Media, and used by the Company as described in this Photo & Media Consent.
- I grant the Company a worldwide, royalty-free, fully paid-up, transferable and sublicensable license to use my name, company name, photo(s), and any other content I submit for the purposes of this campaign and related marketing, promotional, PR, and business communications. This includes displaying my content on digital billboards and using photos or videos of those billboards across the Company's website, social media, advertising, presentations, and other promotional materials. The Company may edit, adapt, modify and animate as necessary for production. I understand that I will not receive additional compensation for these uses. I hereby waive any remaining rights and my right to bring claims related to such waived rights.
- Company may transfer, use, store, process such Media and Participation, including with its service providers, vendors affiliates, in and outside of jurisdictions of the participant's country of residence, for the purposes described in this form. In addition, I am aware that, depending on applicable law, I have rights to access, correct, delete or object to the use of my personal data, and to withdraw my consent.
- I understand that Company may use the Media and Participation to promote and market the Company, its brand, products and services, and for related business purposes.
- I understand that providing the Media and Participation is voluntary. I may withdraw my consent for future use of unpublished Media by contacting the Company. However, this will not affect any use that took place before I withdrew my consent, and the Company may not be able to remove materials that were already published or shared.
- I understand and agree that the Company may edit, crop, adapt, resize, retouch, reformat, overlay, combine or otherwise modify the Media, and may add graphic elements, branding, slogans, copy, design treatments, layouts, soundless motion effects or minor animation effects, in its sole discretion. I further understand that I will not have any right to review, inspect or approve the final creative, design, layout, adaptation or use before it is displayed or otherwise used by the Company.
- I represent and warrant that I submitted the Media voluntarily and that I own, control, or otherwise have all rights, permissions, consents and authority necessary to provide the Media and Participation to the Company and to grant the rights set out herein. If any other person appears in, contributed to, or has rights in the Media, I represent and warrant that I have obtained all permissions, consents and releases required from such person or from such person’s parent or legal guardian, as applicable.
- I understand that the Company is not obligated to use the Media or the Participation, and that submission does not guarantee selection, publication, display or other use in Times Square or elsewhere.
- I understand that the Company may retain the Media and Participation for as long as reasonably necessary for the purposes described herein, including for archival, legal, evidentiary, compliance and business recordkeeping purposes, subject to applicable law and the Company’s retention practices.
- I acknowledge and agree that my participation is entirely voluntary and that I will not receive any compensation, payment, royalty, reimbursement, or other consideration in connection with my submission of the Media, this Consent, or the Company's use of the Media or my Participation. By providing my electronic acknowledgment and submitting my materials, I waive any present or future claim for compensation or other monetary or non-monetary consideration arising from or relating to the use of the Media or my Participation.
- I acknowledge and agree that this Photo & Media Consent shall inure to the benefit of Company and its successors, assigns, licensees, and agents (Company, its affiliates, and such third parties collectively, the "Company Parties"). The Company and the Company Parties are and shall be released from any and all liability of any kind arising out of the use of my Participation or the Media, including, without limitation, any claims arising out of rights of privacy, image rights, unjust enrichment, unfair competition and/or right of publicity and any claims of any kind.
- I represent that I am over the legal age of majority, can read and understand the English language and that by electronically acknowledging this Photo & Media Consent and submitting my materials, I voluntarily accept and agree to its terms with full knowledge of their effect
